Re: Update on Board Activities

Hi there. This memo serves as part of a regular update from the Board to members regarding Board activities. As you may know from previous communications, we began this year by welcoming three new members to the Board – Nelson Grave, Mary Rooker, and David Walker.

The Board has decided to focus its energy over the next year in a few key directions. First, the Board will be discussing and considering the future of the stores. This includes discussions with community members and elected officials regarding the role of the Co-op in the future vision for Takoma Junction. Second, the Board will focus on a comprehensive review and revision of the Articles of Incorporation and the Co-op corporate structure. Third, the Board will conduct a comprehensive review and revision of the Policies through which the Board governs the Co-op.

The Board has reviewed and renewed the work of several committees. The Membership Committee has been meeting regularly and is focused on member education, increasing member volunteerism, and outreach to new members. The Articles of Incorporation Committee is reviewing the TPSS corporate structure and the documents which govern this structure. They will make recommendations to the Board for revisions of these documents to ensure that the co-op is in a strong position for several possible future directions. The Articles of Incorporation will be discussed at future membership meetings. The Nominations Committee will be reviewing the newly developed Election Protocol and asking membership for feedback on their experience with the last election. The Finance Committee analyzes financial reports, considers financial implications of significant co-op decisions and provides advice to the Board. All of these committees are open to new members. To find out more and join a committee, go to http://www.tpss.coop/governance.html and click on “Get Involved”.

Two other Board committees are wrapping up their work. The Local Foods Committee presented their report to the Board at the February meeting. Their report can be found at http://www.tpss.coop/focus_on_local_final_report.pdf. The Living Wage Committee has been considering ways which the co-op might move towards paying employees a living wage. They will be presenting their report to the Board for consideration in April.

Please remember that all Board meetings are open and occur on the third Sunday of the month, 6:00-9:30pm at the Takoma Park store. Agendas are posted on the web on the Governance page and in the store a week before the meeting. The Summer Membership meeting will be June 20, 4-6pm. More information will follow. We look forward to seeing you and hearing from you.

Finally, in the next month you will have an opportunity to participate in a survey regarding Co-op operations. There will be in-store as well as electronic versions available. Please take the time to complete the survey and share your thoughts.

December 31, 2009

Congratulations to the newly elected board members: Mary Rooker, Nelson Graves and David Walker. Thanks to all candidates for their interest in serving the co-op.
